[Problem] The present invention provides: a shock-absorbing device that has further improved vibration suppression properties and that is capable of suppressing the generation of a contact sound caused by contact between a collar member and a shock-absorbing member; and a metal cover. [Solution] A shock-absorbing device 10 that damps vibration to a heat insulator 1 covering an exhaust manifold 3, which is a source of vibration, is constituted by a collar member 20, a grommet 30, a compression mesh 40 constituted by an annular shock-absorbing material, and a spiral spring 50 arranged so as to be superposed on the compression mesh 40, wherein: a center hole 41 of the compression mesh 40 is loosely fitted onto a collar shaft part 21; the spiral spring 50 is spiral-shaped in a planar view and has a spring constant set equal to or below that of the compression mesh 40; a restriction protrusion 43 that restricts the relative movement, in the radial direction, of the spiral spring 50 relative to the compression mesh 40 is provided on the compression mesh 40 along a lower large-diameter part 51; and a contact range X between the lower large-diameter part 51 and the restriction protrusion 43 occupies a range from 40% to 55% in the circumferential direction.
