A damping valve (1) according to the present invention includes: a valve seat member (2) provided with an annular recess portion (2d), a port (2c) that opens to a bottom portion (2d1) of the recess portion (2d), an annular valve seat (2e) that rises from the outer circumferential of the recess portion (2d), and an opposing portion (2f) that is annular and has an inner circumferential surface facing the recessed portion (2d); a sub-valve (3) that is disposed within the recess portion (2d) so as to be separated from the bottom portion (2d1) of the recess portion (2d), forms an annular gap (P) between the outer circumferential surface and the opposing portion (2f), and, with the outer circumferential side serving as a free end, is allowed to deflect in a direction away from the valve seat member (2) within the recess portion (2d); and an annular leaf valve (4) that is layered so as to be separated in an axial direction on the side, of the sub-valve (3), opposite to the valve seat member), and, with the outer circumferential side serving as a free end, is allowed to deflect so as to be seated in or separated from the valve seat (2e).
